User Terms

1.1 The agreement. These User Terms (the "Terms") are a binding agreement between you and Truckers Base Social Inc. ("TruckersBS", "we", "us" or "our"), the operator of the trucking community and media platform available at https://truckersbs.com/. They apply to your access to and use of the Platform.

1.2 Our group. Truckers Base Social Inc. forms part of the LTL VAN Media group. LTL VAN Media Inc. ("LTL VAN Media") is our holding company and owns the Platform's websites, applications and related social media properties. Where these Terms grant a right to us, they also grant that right to LTL VAN Media and its affiliates, and each may enforce these Terms to protect its own rights and interests.

1.3 Our address. Our mailing address is 9505 Franklin Avenue, Unit 202, Fort McMurray, Alberta T9H 3Z7, Canada. Our registered office is: [registered office — to be confirmed].

1.4 Documents that form part of the agreement. These Terms incorporate our Community Guidelines (https://truckersbs.com/legal/community-guidelines), Privacy Policy (https://truckersbs.com/legal/privacy-policy), Cookie Policy (https://truckersbs.com/legal/cookie-policy), Copyright Complaints Policy (https://truckersbs.com/legal/copyright-complaints) and Disclaimers (https://truckersbs.com/legal/disclaimers). If you are an approved Contributor, the Contributor Terms (https://truckersbs.com/legal/contributor-terms) also apply to you. If there is a conflict, the Contributor Terms prevail for Contributor Content, and otherwise these Terms prevail over the other documents.

1.5 Acceptance. You accept these Terms by creating an account, selecting the acceptance button or using the Platform. When you accept, we save an acceptance record showing your name and email address, the document and its version, the full text you accepted, the date and time, your confirmation that you are at least 18, and a unique agreement identifier. You can see your acceptance records under My Agreements. If you do not agree to these Terms, you must not use the Platform.

2.1 Definitions. In these Terms: "Platform" means the website at https://truckersbs.com/, the installable version of it (a progressive web app) and any related application or service we operate, including Stories, Materials, Load Securement, Forums, the wiki, TruckersBS TV, CabBox, E-Sign, Shop, THT Funds, Drivers, Get Verified and the AI assistance described in section 20; "Content" means any text, image, video, audio, file, link, data or other material; "User Content" means Content that a user submits, posts, uploads or transmits through the Platform; "Contributor" means a registered user whom we have approved, following an application, to publish Stories under the Contributor Terms; "Contributor Content" means Stories and other works a Contributor submits for publication; and "Applicable Law" means all laws and regulations that apply to a party or activity.

2.2 Interpretation. Headings are for convenience. "Including" means including without limitation. A reference to a law includes that law as amended or replaced.

3.1 Minimum age. You must be at least 18 years old to use the Platform. You must not create an account or submit User Content if you are under 18. When you sign up you must confirm that you are 18 or older. We rely on that confirmation, and if we learn that it is untrue we will close the account.

3.2 Capacity. You confirm that you have the legal capacity to enter into these Terms. If you use the Platform for a business or on behalf of an organization, you confirm that you have authority to bind it and that "you" includes the organization.

3.3 Prohibited persons. You must not use the Platform if you are barred from receiving our services under Applicable Law, if you have been banned from the Platform, or if we have previously terminated your account for breach, unless we have agreed in writing to reinstate you.

3.4 Local law. The Platform is controlled from Alberta, Canada. You are responsible for compliance with the laws of the place from which you access it. We do not represent that the Platform or any Content is appropriate or available in every location.

4.1 Registration. You need an account to post, comment, take part in Forums and use CabBox, E-Sign, THT Funds and other interactive features. You can register with an email address and password or with Sign in with Google. You must provide accurate, current and complete information and keep it up to date. You may have one account unless we agree otherwise.

4.2 Participation without Contributor status. Any registered user may take part in Forums, ask questions, comment, share information and use the other features available to registered users without applying for Contributor status or obtaining our permission. Contributor status is needed only to publish Stories, as described in section 12.

4.3 Credentials. You are responsible for keeping your login credentials confidential, for all activity under your account, and for telling us promptly at the contact in section 25 if you suspect unauthorized use. We are not liable for loss caused by unauthorized use of your account unless caused by our breach of these Terms or by our negligence.

4.4 Profile and identity. You must not impersonate any person or organization or misrepresent your affiliation, including any affiliation with TruckersBS, LTL VAN Media, a carrier, a regulator or an enforcement body. Your profile appears in the Drivers directory unless you choose to hide it in your privacy settings.

4.5 Deactivation, deletion and inactive accounts. You may deactivate your account, which hides it until you return, or delete it, which requires a code that we send to your email address. We may close an account that has been inactive for an extended period after reasonable notice. Deletion anonymises your profile, but some content you created stays on the Platform without your name, including posts and comments, messages already delivered in CabBox and E-Sign documents that other people have received or signed. The Privacy Policy explains what we delete, what we keep and for how long. If you want particular content removed, delete it or ask us before you delete your account.

4.6 Get Verified. You may apply for a verified badge by giving us your legal name, company, carrier MC or DOT number and supporting documents. We decide applications at our discretion. A badge shows only that we reviewed the information you gave us at that time. It is not a guarantee of your identity, authority, insurance, safety record or reliability, and other users must make their own checks. We may remove a badge at any time, including if information you gave us proves to be untrue.

5.1 What we provide. The Platform is a community and media service. It currently includes Stories, Materials, Load Securement, TruckersBS TV, Forums, the wiki, CabBox, E-Sign, Shop, THT Funds, Drivers and Get Verified, each as made available to you from time to time. It also includes AI-powered informational and writing assistance, as and when we make it available (section 20).

5.2 Features that are not available. Truckers Base Social Plus is a planned future offering. It has been developed but is disabled and is not available to users, and nothing in it is on sale. If we enable it, you will need to contact us to ask about pricing. Before we accept any payment for it we will publish its terms, including what is provided, the price, payment methods and refunds, and its promotions will be labelled as promoted or sponsored. Promotions are intended to be displayed to both registered and non-registered visitors, and viewing a promotion will not require an account. The sentence assistance function described in section 20 is not working at the Effective Date and is not available. A description of a feature that is not available is not a promise that it will be launched or restored.

5.3 Changes to the Platform. We may add, change, suspend or remove features, in whole or in part, including to improve safety, comply with law or manage costs. If we make a change that materially reduces your use of a feature you rely on, we will give reasonable notice where practicable.

5.4 Fees. The Platform is free to use. At the Effective Date we offer no paid feature, paid promotion or subscription, and we take no payment through the Platform. If we introduce a paid feature, including Truckers Base Social Plus, we will publish its terms before it becomes available, covering what is provided, the price, taxes, any renewal, and cancellation and refunds, and you will not be charged without your agreement. Third-party sellers and fundraising services you reach through the Platform set their own prices and fees.

5.5 Availability. We aim to keep the Platform available but do not guarantee uninterrupted or error-free operation. We may suspend access for maintenance or security reasons.

6.1 Users are not our staff. Users, including Contributors, are independent individuals. They are not employees, workers, partners, agents, joint venturers or official representatives of TruckersBS, LTL VAN Media or any of their affiliates, and they have no authority to speak for or bind any of them.

6.2 Opinions are the user's own. Statements, opinions, advice, claims and other User Content, including Stories, comments, forum posts and TruckersBS TV content created by users, are those of the individual who made them. They do not represent the views of TruckersBS, LTL VAN Media or their affiliates, and appearing on the Platform, or being approved as a Contributor, is not an endorsement or verification of any statement.

6.3 Our own content. Content that we publish in our own name and identify as TruckersBS or LTL VAN Media content is attributable to us. Everything else on the Platform is presumed to be User Content.

6.4 Responsibility. You are solely responsible for your User Content, for the consequences of posting it, and for any claim arising from it, subject to section 23 and Applicable Law.

6.5 Our rights are preserved. Nothing in this section limits our right to review, moderate, edit as permitted by these Terms, restrict or remove any Content, to enforce the Community Guidelines, or to respond to legal complaints. We are not obliged to monitor User Content, and our decision to leave Content in place does not mean we agree with it.

7.1 Ownership. You keep ownership of your User Content and your intellectual property rights in it. These Terms do not transfer ownership to us, except where you agree otherwise in writing.

7.2 Licence. You grant TruckersBS, LTL VAN Media and their affiliates a worldwide, non-exclusive, royalty-free, sublicensable (to service providers and distribution partners acting for us), transferable licence to host, store, reproduce, display, publish, communicate to the public, distribute, format, translate, adapt for technical and editorial purposes (as provided in section 7.4), index, summarise and use as a source for reference pages such as the wiki (including with the help of artificial intelligence tools, as described in section 20), and promote your User Content in connection with operating, improving and promoting the Platform and our related channels. The licence continues for as long as the User Content remains on the Platform and for a reasonable period afterward to complete removal from backups and for archival copies that cannot reasonably be removed, and survives where a legal obligation, a dispute or the rights of others require it. For Contributor Content, section 12 and the Contributor Terms apply in addition.

7.3 Moral rights and attribution. Where Applicable Law gives you moral rights in your User Content, you waive them in favour of us, our affiliates, our licensees and users to the extent the law permits, only so far as needed to exercise the licence in section 7.2. We will credit you by the name or byline you use on the Platform in the ordinary course.

7.4 Editing. We may make technical changes needed to display your User Content, such as resizing or reformatting. We will not make substantive changes to a Story without the Contributor's agreement, other than removal or redaction of material to comply with law or our rules.

7.5 Your promises. You promise that: (a) you own or have all rights and permissions needed to submit your User Content and grant the licence; (b) your User Content does not infringe, misappropriate or violate any third party's rights, including copyright, privacy, publicity and confidentiality rights; (c) it complies with Applicable Law, these Terms and the Community Guidelines; (d) it does not contain any statement of fact that you know to be false and that is likely to harm a person or business; and (e) where it includes information about identifiable people, you have the right to share it.

7.6 Feedback. If you give us suggestions or feedback, we may use them without obligation to you.

8.1 Rules. You must comply with these Terms, the Community Guidelines and Applicable Law. You must not use the Platform to:

• post unlawful, defamatory, harassing, hateful, threatening, obscene, fraudulent or deceptive Content;
• infringe intellectual property or privacy rights, or post another person's private information without authority;
• share intimate images of a person without their consent, or any sexual Content involving a person under 18;
• impersonate others or misrepresent a story, a fundraising need or a signed document;
• spam, scrape, harvest user information, or send unsolicited commercial messages;
• upload malware, interfere with the Platform's operation or security, or attempt to gain unauthorized access;
• circumvent suspensions, bans, rate limits or age restrictions;
• use the Platform to commit or facilitate fraud, freight theft, double brokering or any other crime; or
• use automated means, bots, or artificial intelligence tools to post Content in a deceptive manner or at a scale that disrupts the community.

8.2 Safety. You must not post Content that encourages unsafe driving, cargo securement or equipment practices in breach of the law, or that purports to be an official instruction of a regulator or employer.

8.3 Third-party platform rules. Where you embed or link to Content from another service, you must comply with that service's terms.

9.1 Our rights. We may, at our discretion and subject to these Terms and Applicable Law, review, refuse to publish, edit for compliance, label, restrict, move or remove any Content, and warn, suspend or terminate any account, where we reasonably believe Content or conduct breaches these Terms or the Community Guidelines, is unlawful, creates risk for us or others, or is the subject of a credible legal complaint.

9.2 Reporting. You can report Content or conduct using the Report button on Stories, Forum posts, comments, Materials, load securement setups, portfolios, loads, profiles, THT Funds requests and CabBox messages you have received, or by contacting us at [reporting email — to be confirmed]. You can report without signing in where the Platform allows it. We aim to review reports promptly and to act on those that show a breach. Reports of copyright infringement should be made under our Copyright Complaints Policy.

9.3 Notice of decisions. Where we remove Content or restrict your account, we will tell you what we did and why, and how to appeal, unless doing so would risk harm to a person, interfere with an investigation or breach the law.

9.4 Appeals. You may appeal a moderation decision by replying to our notice or contacting us within 30 days of the decision. A person who was not involved in the original decision will review your appeal where practicable. We will tell you the result. Our decision on appeal is final within the Platform, which does not limit any rights you have under Applicable Law.

9.5 Urgent action. We may act immediately, without prior notice, where needed to protect a person from harm, to comply with the law or to protect the Platform. Content reported as a child-safety concern, a threat or an intimate image shared without consent is hidden automatically until a person has reviewed it. A person makes every final moderation decision.

9.6 Law enforcement and mandatory reporting. We may preserve and disclose information to authorities as described in the Privacy Policy. Where Applicable Law requires us to report suspected child sexual exploitation material or other offences, we will do so.

9.7 Neutral platform. We act as a host of User Content. Our decision to moderate or not to moderate does not make us the author or publisher of User Content, to the extent the law allows.

10.1 Policy. We respond to notices of claimed copyright infringement under our Copyright Complaints Policy, which describes how to give a notice, how we deal with notices under the Copyright Act (Canada) and the United States Digital Millennium Copyright Act, how counter-notices work, and how we deal with repeat infringers.

10.2 Repeat infringers. We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers of copyright.

10.3 Other rights. If you believe Content infringes your trademark, privacy, publicity or other rights, or is unlawful for another reason, contact us at [rights complaints email — to be confirmed] with enough information for us to identify the Content, the right claimed and the basis for your complaint.

11.1 Ownership. The Platform, including its software, design, layout, databases, text we create, graphics, logos, names and trademarks such as TruckersBS, Truckers BS and Truckers Base Social, is owned by LTL VAN Media or its licensors and licensed to Truckers Base Social Inc. It is protected by copyright, trademark and other laws.

11.2 Licence to you. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for your personal, non-commercial use, or for the ordinary business use of your own trucking operation where the feature is intended for that purpose.

11.3 Restrictions. You must not copy, modify, reverse engineer, scrape, resell, or create derivative works of the Platform, or use our names, logos or marks without our written permission, except as the law allows.

11.4 Reservation. All rights not expressly granted to you are reserved.

12.1 Who may publish Stories. Stories, personal experiences, blogs and other written works in the Stories section are published only by Contributors. To become a Contributor you must have an account and apply through Become a Contributor, giving the information the application asks for, including your contact details and your reasons for wanting to contribute. We review each application and decide whether to approve it at our discretion, and we tell you the outcome by email. Forums and the other features described in section 4.2 do not require Contributor status.

12.2 Why we require registration. We require Contributors to register so that we hold the account and contact information we need to communicate with them, deal with complaints, investigate content that may break our rules or the law, and take action where needed. Contributors are accountable for the content they publish, subject to Applicable Law.

12.3 Independent status. Contributors are independent users. They do not work for TruckersBS or LTL VAN Media, they are not employees, agents or representatives of either company, and they are not paid for their contributions. The opinions, accounts and statements in a Contributor's Story are the Contributor's own and do not automatically represent TruckersBS, LTL VAN Media or their affiliates, as stated in section 6 and in the Contributor Terms.

12.4 Story submissions from others. If a person who is not a Contributor sends us a story through Send a Story or a similar form, we treat it as a submission for our consideration only. We will not publish it as a Story unless the sender registers and is approved as a Contributor. We are not obliged to tell the sender why we did not publish a submission.

12.5 Editorial rights. We may decline, hold, correct, label or take down any Story in line with the Contributor Terms, including to correct an error of fact, to comply with law or to resolve a complaint.

12.6 Disclosure. Contributors and other users must disclose a material connection with any business, product or person they promote in User Content, as required by Applicable Law, including advertising and consumer protection laws.

13.1 Forums. Forums are open to all registered users for questions and discussion in line with the Community Guidelines, without Contributor status. Posts are public unless the Platform states that a forum or thread is private.

13.2 Comments and reactions. Comments, likes and other reactions are User Content, and the same rules apply.

13.3 Administrators, moderators and fund approvers. We operate the Platform through administrators, moderators and fund approvers. Each acts under our authority and within the permissions we assign to the role, which differ by role and which we may change. They are not our employees unless we say so in writing, they must act under our rules and they have no authority to speak for us in respect of legal matters.

13.4 Naming people and businesses. You may share your honest experiences of carriers, brokers, shippers and other businesses and people. You must not state as fact something you know to be false, and you must not publish private information of an individual. You are responsible for the truth of facts you state.

13.5 Wiki. We publish wiki pages about people, places and companies mentioned in public Stories. Our administrators create them with the help of an artificial intelligence tool that draws on those Stories. Wiki pages may contain errors. If a wiki page concerns you or your business and is inaccurate, or you want it removed, contact us at the address in section 25 and we will review it.

14.1 Purpose. CabBox provides one-to-one messaging (including text, photos, video, voice notes, files and links), personal file storage, contacts and notifications. It is not a backup or archive service.

14.2 Your content. You are responsible for everything you place in or send through CabBox. You must not use CabBox to store or send unlawful, infringing or harmful material, malware or unsolicited bulk messages.

14.3 Sharing. Only the two people in a conversation can see its messages, and only you can see your personal files. A recipient can view and download a file you send and may keep a copy. If you delete a message you sent, the message and its file are removed from the conversation, but we cannot recall copies a recipient has already downloaded. We are not responsible for what recipients do with an item you send.

14.4 Storage and limits. Items are kept until you delete them. If you delete your account, messages you have already sent remain in the recipient's conversation without your name, as described in section 4.5 and the Privacy Policy. We may set and enforce limits on storage, file types and file size, and may delete items to enforce them after notice where practicable. You should keep your own copies of anything you need.

14.5 Access by us. We do not review CabBox content in the ordinary course. A moderator sees a CabBox message only if the recipient reports it. Authorized personnel may otherwise access CabBox content only to maintain security, investigate a report or a suspected breach of these Terms, comply with law or with your consent, as described in the Privacy Policy.

14.6 No guarantee of confidentiality. CabBox messages are encrypted in transit but are not end-to-end encrypted. They are stored in a form that our authorized personnel and our database provider could technically access. We do not guarantee that CabBox is free from interception or unauthorized access, and you should not use it for information that requires a higher level of protection than the Platform provides.

15.1 What E-Sign does. E-Sign allows users to sign their own PDF documents and to request signatures from other users, and to track documents as To Sign, Sent or Completed. Every signer must have an account and be signed in. For each signature, E-Sign records the signer's name, the time of signing, the signer's IP address, a description of the device and browser used, the signature and initials images placed in the document, and an event trail showing when the document was sent, viewed, signed or declined. You can see the event trail in the Platform. E-Sign does not currently apply a tamper-evident seal or fingerprint to the signed document, and it does not issue an exportable audit certificate.

15.2 Electronic signatures. Each person who signs through E-Sign agrees to sign electronically and intends their electronic signature to have the same effect as a handwritten signature to the extent that Applicable Law permits. E-Sign does not offer a paper signing option. If a signer prefers to sign on paper or is entitled to do so, the parties must arrange that outside the Platform. By requesting a signature, you confirm that you have told the signer that the document will be signed electronically.

15.3 Not a party and no legal advice. We provide the tool only. We are not a party to any document signed through E-Sign, we do not draft, review or advise on any document, and we do not verify the identity, capacity or authority of any signer, or the accuracy or lawfulness of any document.

15.4 Limits on enforceability. The law of the place where you are or where the document will be used decides whether an electronic signature is valid and enforceable. Some documents cannot be signed electronically or need additional formalities, such as wills and certain family-law, property, court and notarial documents. We do not guarantee that E-Sign will meet the requirements of any particular law, regulator, counterparty or court, including requirements for advanced or qualified electronic signatures. You are responsible for deciding whether E-Sign is suitable.

15.5 Records. You are responsible for keeping copies of signed documents. The signed PDF is returned to the sender and stored in our database for every party to the document until it is deleted. Because each party has an interest in the record, a document that another person has received or signed remains available to that person even after you delete your account, as described in the Privacy Policy. Documents must be PDF files of no more than 10 MB, with no more than five signers.

15.6 Prohibited use. You must not use E-Sign to forge a signature, to sign on behalf of another without authority, to send documents you have no right to share, or to induce another person to sign by deception or pressure.

15.7 Disputes between signers. Disputes about a document signed through E-Sign are between the parties to the document. We may provide records in response to a valid legal request.

16.1 What THT Funds is. THT Funds ("Truckers Helping Truckers") is a facility on the Platform that lets users submit fundraising requests, which we display on the Platform with a link to an external fundraising campaign. Our role is limited to displaying the request and directing visitors to the campaign. We do not collect, hold, process or distribute donations, and we are not a charity, a fundraiser, a payment processor, a financial institution or an escrow agent.

16.2 Donations are outside the Platform. When you choose to donate, you are redirected to the external fundraising platform, such as GoFundMe, and you donate there under its terms and policies. We do not control the campaign, the funds, the beneficiary or the way funds are used, and we do not issue receipts or tax documents. We receive no referral fee or commission from any fundraising platform.

16.3 Requests. Any registered user may submit a THT Funds request. The submission form allows you to provide campaign photos, a category, a title, a description, the fundraising platform, an external donation link and a location. Our administrators, and users we have authorized as fund approvers, may review, label, publish, decline or remove requests. We do not promise any particular review or verification procedure, and we do not independently verify that any request is genuine. A request may carry a label, such as "TBS User", "Trucking Company", "TBS Admin" or "Documents", which describes who submitted the request or what the approver saw. Publication and any label or badge are not a statement that the request is true, that the beneficiary is entitled to funds or that the campaign will succeed or be lawfully run, and they are not an endorsement.

16.4 Totals. Campaign totals shown on the Platform may be entered manually, may be out of date or inaccurate, and are not a guarantee of the amount raised.

16.5 Your responsibility as a requester. If you post a request, you promise that it is truthful, that you are the beneficiary or have the beneficiary's permission, that funds will be used for the stated purpose, and that you will comply with the terms of the fundraising service and Applicable Law, including laws on fundraising, taxes and reporting.

16.6 Donor responsibility. If you donate, you do so at your own risk and at your own discretion. You should make your own enquiries before donating and should report suspected fraud to us and to the fundraising service.

16.7 Removal. We may reject, remove or label any request, at any time, including where we suspect fraud or misrepresentation, a beneficiary asks for removal, or we are required to by law or by the fundraising service.

16.8 Disclaimers. Further disclaimers about THT Funds are in our Disclaimers document. They form part of these Terms.

17.1 Third-party retailers. The Shop may link to third-party retailers or affiliate partners. Unless the Shop page for an item states that we are the seller, the seller is the third party. The seller controls its own checkout, payment, delivery, returns, warranties and privacy practices, and any contract of sale is between you and that seller.

17.2 Affiliate programmes and disclosure. Amazon Associates is the affiliate programme we plan to use for the Shop. Until we publish affiliate links, we earn no commission through the Shop. When we publish them, we will include the disclosure the programme requires and identify links that earn a commission as Applicable Law requires. Other affiliate relationships will be disclosed where they apply. A commission does not increase the price you pay.

17.3 Product information. We do not warrant the accuracy of third-party product descriptions, prices or availability. We are not responsible for product quality, safety or suitability, including for safety-critical equipment such as straps, chains, binders and tie-downs.

17.4 Links and embeds. The Platform contains links to and embeds of third-party websites, videos and services. We do not control and are not responsible for them. Your use of them is governed by their terms.

17.5 No paid promotion or direct sales. We do not currently sell paid promotion, sponsored placement or merchandise. If we begin to offer paid promotion, including through Truckers Base Social Plus, or to sell goods ourselves, we will publish separate terms before any sale, covering what is provided, the price and taxes, payment, cancellation and refunds and, for goods, shipping and returns, and promoted content will be labelled as promoted or sponsored.

18.1 Drivers. The Drivers page shows the public profiles of registered members, including name, photo, username, role, headline, company, location, availability, profile views and follower count, unless the member has chosen to hide from the directory. All of this is entered by members themselves. You are responsible for the accuracy of your profile and for deciding what to share. You must not include information about another person without their consent.

18.2 No brokerage or carrier role. We are not a freight broker, carrier, shipper, dispatcher, employer or recruiter, and nothing on the Platform creates a contract of carriage, brokerage or employment between us and any user. Any arrangement is between the users concerned. You are responsible for holding any authority, licence, registration, insurance or permit required by law for your activity.

18.3 Verification. We do not verify the identity, authority, insurance, safety record or reliability of any user, driver, carrier or broker. You must do your own checks before dealing with others.

18.4 Fraud. You must not post fictitious loads or profiles, or use the Platform for double brokering, identity theft or any other fraud. We may remove such Content and report it to authorities.

19.1 Information only. Content on the Platform, including Stories, Materials, Load Securement content, Forums, TruckersBS TV and the references to trucking regulations, is for general information and community discussion. It is not legal, regulatory, safety, medical, financial or compliance advice, or training, certification or an official statement of any regulator.

19.2 Regulations. Trucking rules vary by country, state, province and territory and change over time. We are not a regulator. You are responsible for identifying and following the rules that apply to you and for confirming requirements with the relevant authority, such as the Federal Motor Carrier Safety Administration in the United States or the provincial or territorial transport authority and the National Safety Code programme in Canada, your carrier and the equipment manufacturer.

19.3 Load securement and safety. Load securement content is not a substitute for training, the applicable cargo securement standard, your carrier's procedures or the equipment manufacturer's instructions. A securement setup shown by a user may not comply with the law. Do not rely on any Content when your safety or that of others is at stake without confirming it with an authoritative source.

19.4 Reliance. You use and rely on any Content at your own risk.

19.5 Disclaimers document. The Disclaimers document contains further disclaimers that apply to specific features and form part of these Terms.

20.1 AI assistance. We use or intend to use technology provided by OpenAI to offer AI-powered informational and writing assistance: explanations of trucking terminology, equipment, components and related subjects; general information about cities and other places; and sentence assistance that helps you structure sentences, improve wording and correct grammar, including our Fix My Story tool, which can also split a Story into chapters. Using these functions is your choice. When you use one, the text, term or place you select or enter is sent to OpenAI, as described in the Privacy Policy. At the Effective Date the sentence assistance function is not working and is not available, and we will treat it as available only once it has been restored. We may change, suspend or withdraw any AI function. We also use an AI tool to help our administrators prepare wiki pages from public Stories, as described in section 13.5.

20.2 Accuracy. AI output can be incorrect, incomplete, biased or similar to other content, and may contain errors or omissions. Verify information independently when accuracy is important, especially for safety-critical or operational decisions. It is general information and not legal, regulatory, safety or other professional advice. You are responsible for reviewing it and for the Content you publish.

20.3 Disclosure. Where Applicable Law or our Community Guidelines require it, you must disclose when Content was created with substantial help from AI. You must not use AI tools to generate false stories, fake identities or deceptive fundraising requests.

20.4 No use of your private files. We do not use the content of CabBox items or E-Sign documents to train artificial intelligence models.

20.5 Scraping. You must not use the Platform's Content to train an AI model without our written permission, except as the law allows.

21.1 Privacy. Our Privacy Policy explains how we collect and use personal information. By using the Platform you acknowledge it.

21.2 Cookies. Our Cookie Policy explains how we use cookies and similar technologies and how you can manage your choices.

21.3 Electronic notices. You agree that we may give you notices by email to the address on your account, through the Platform, or by posting on the Platform, and that these satisfy any requirement that notice be in writing. You must keep your email address current. Marketing messages are sent only as stated in the Privacy Policy.

21.4 Notices to us. Legal notices to us must be sent to the address in section 1.3 or the email address in section 25.

22.1 By you. You may stop using the Platform and close your account at any time.

22.2 By us. We may suspend or terminate your account or access, with or without notice, if you breach these Terms or the Community Guidelines, if we are required to by law, if you create risk or harm for others or for us, or if we discontinue the Platform or a feature. Where practicable and lawful, we will give you notice and an opportunity to appeal under section 9.

22.3 Effect. When your account ends, your right to use the Platform ends. We will deal with your information as described in the Privacy Policy. If you are a Contributor, the Contributor Terms govern your works.

22.4 Survival. Sections that by their nature should survive termination do so, including sections 6, 7, 10, 11, 16.8, 19, 23, 24 and 25.

23.1 Provision as available. To the extent permitted by Applicable Law, the Platform and all Content are provided "as is" and "as available". We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted availability.

23.2 User Content. We do not endorse, and are not responsible for the accuracy, legality or reliability of, User Content or the statements of any user, Contributor or third party.

23.3 Limitation. To the extent permitted by Applicable Law, TruckersBS, LTL VAN Media and their affiliates, directors, officers, employees and contractors are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business, data or goodwill, arising from or connected with your use of the Platform or these Terms, even if advised of the possibility of such loss.

23.4 Cap. To the extent permitted by Applicable Law, our total liability to you for all claims connected with the Platform or these Terms is limited to the greater of CAD 100 and the amount you have paid us in the 12 months before the claim arose.

23.5 What is not limited. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence where the law does not permit exclusion, or for a consumer's mandatory statutory rights. Some jurisdictions do not allow certain exclusions, so some of the above may not apply to you.

23.6 Third parties and users. We are not responsible for the acts or omissions of users, Contributors, fundraising services, retailers, affiliate partners, signers, brokers, carriers or any other third party, and any dispute you have with them is between you and them.

23.7 Basis of the bargain. You acknowledge that the Platform is provided free of charge and that the limits in this section reflect a reasonable allocation of risk.

24.1 Your indemnity. To the extent permitted by Applicable Law, you will defend and indemnify TruckersBS, LTL VAN Media and their affiliates, directors, officers, employees and contractors against claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising from: (a) your User Content; (b) your breach of these Terms or the Community Guidelines; (c) your violation of law or of a third party's rights; or (d) a dispute between you and another user, signer, donor, beneficiary or counterparty. We will tell you promptly of any claim, you will not settle a claim that imposes obligations on us without our consent, and we may assume control of the defence at our expense.

24.2 Consumers. If you are a consumer in a jurisdiction whose law does not permit the indemnity in section 24.1, it applies only to the extent the law permits.

24.3 Sanctions and export. You confirm that you are not the target of sanctions administered by Canada, the United States, the United Kingdom, the European Union or the United Nations, and that you will not use the Platform in breach of any applicable export control or sanctions law.

24.4 Law enforcement cooperation. We may cooperate with authorities and disclose information as the law requires.

25.1 Governing law. These Terms and any dispute connected with them or the Platform are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict of laws rules.

25.2 Informal resolution. Before starting proceedings, you and we will first try to resolve the dispute in good faith by contacting each other in writing and negotiating for at least 30 days, unless urgent relief is needed.

25.3 Courts. Subject to section 25.4, the courts of the Province of Alberta have exclusive jurisdiction over any dispute, and you and we submit to their jurisdiction. We may seek injunctive relief in any court of competent jurisdiction to protect our rights.

25.4 Consumers and mandatory law. If you are a consumer, nothing in these Terms removes any protection or right you have under the mandatory laws of the place where you live, including your right to bring a claim in the courts of that place where the law gives you that right.

25.5 Changes to these Terms. We may update these Terms. We will post the updated Terms with a new effective date and, if a change is material, tell you by email or within the Platform before it takes effect. If you do not accept a change, you must stop using the Platform. If the change requires your acceptance under Applicable Law or our process, we will ask you to accept the new version, and we will keep an acceptance record.

25.6 Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, war, labour disputes, power or network failures, failures of third-party services, cyber-attacks and government actions.

25.7 Entire agreement. These Terms and the documents they incorporate are the entire agreement between you and us about the Platform and replace all earlier understandings on the same subject.

25.8 Severability and waiver. If a provision is unenforceable, it is limited to the minimum extent needed and the remainder stays in force. Our failure to enforce a right is not a waiver.

25.9 Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or to a successor to our business.

25.10 Third-party rights. Except for LTL VAN Media and our affiliates, no one else has rights under these Terms.

25.11 Language. These Terms are written in English. Any translation is for convenience.
